Moore & Bruce, LLP advises companies and individuals on a range of financial businesses, the regulatory structures that affect them and the products and services that they provide. We often find ourselves rendering advice to the founders and “star” managers of the company. These individuals may have concerns that are not addressed by advice rendered to the entity (or fund) itself. Financial Services and Products

We advise on many financial products and services. These include investment funds and products, lending arrangements, various account facilities, a variety of securities services, leases and sale-and-lease back arrangements, and “products” wrapped inside insurance arrangements and trusts.

We frequently become involved at the planning stage, assisting with structuring and foreseeing regulatory and tax implications.

We draft the legal documentation, including nondisclosure and non-circumvention agreements, letters of intent, term sheets, definitive agreements, prospectuses, terms and conditions, and related documents.

Financial Services Regulation

The Firm provides legal advice on all aspects of regulation of financial services businesses by, among others, the Securities and Exchange Commission (SEC), the Office of the Comptroller of the Currency (OCC), the Financial Crimes Enforcement Network (FinCen), and the Office of Foreign Assets Control (OFAC). The last three are part of the US Department of the Treasury. Certain Committees of Congress, in reality, play a role in the regulation of financial services, as well.  State bodies, such as Commissioners of Insurance, can also be involved. The jurisdiction of U.S. courts over issuers of securities, investment advisers, persons that conduct financial transactions, investors, and the like is an important consideration.

We are often called upon to advise with respect to the legality of products and transactions, exposures to regulatory action, anti-money laundering rules (such as those in the USA Patriot Act), and rules aimed at terrorism and organized crime.

Lending Transactions

We advise lenders and borrowers on an array of loan transactions and products that morph from indebtedness to equity. We are especially attuned to issues that arise with respect to cross-border transactions, including U.S. withholding tax issues.
